Corporate Advisory offers a series of services aimed at both start-ups and companies already operating in Italy:

• Analysis of the appropriate legal form (S.p.a., S.r.l., S.a.p.a., branch or subsidiary);

• Support in drafting the documents for incorporation: By-laws, deed of incorporation,  shareholders agreements;

• Drafting of the minutes of shareholders’ and board of directors’ meetings;

• Support in negotiations and drafting of agreements and documents for extraordinary transactions, such as business leases, business deals, spin-offs, mergers, company splits;

• Definition of strategy and support in negotiations with Unions to make use of particular opportunities to reduce labor costs (Redundancy fund, solidarity contracts, labour market mobility);

• Support in entering into agreements (agency agreements, license and royalty agreements, cost-sharing arrangements, management fee agreements, employment agreements, real-estate lease and purchase agreements).
